Terms of Service

1. Agreement

By creating an account or using ShipLulu's services ("Service"), you ("Seller", "you") agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding agreement between you and ShipLulu ("we", "us").

2. Service Description

ShipLulu provides third-party logistics (3PL) services including warehousing, order fulfillment, and shipping for e-commerce sellers. We receive your inventory at our warehouse, store it, and ship orders to your customers on your behalf.

3. Account

You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access. One account per business entity; shared accounts are not permitted.

4. Inventory & Inbound

You retain ownership of all inventory stored in our warehouse. You are responsible for ensuring that your products comply with all applicable laws (export controls, product safety, customs regulations). We reserve the right to refuse inventory that is illegal, hazardous, or violates our Prohibited Items policy. We will inspect inbound shipments and report any discrepancies. Claims for inbound discrepancies must be filed within 7 days of receiving confirmation.

5. Order Fulfillment

We will process orders received through your connected store or created manually in your dashboard. Standard processing time is within 48 hours of order receipt (excluding weekends and holidays). We are not responsible for delays caused by incorrect shipping addresses, customs holds, carrier delays, or force majeure events.

6. Fees & Payment

Current fees are published on our Pricing page and in your dashboard under Billing. Fees are deducted from your prepaid balance. You must maintain a positive balance to ensure uninterrupted service. If your balance reaches zero, order processing will be paused until you reload. We may adjust fees with 30 days' written notice. Volume-based custom pricing is available upon request.

7. Shipping

Shipping rates are determined by destination, package weight/dimensions, and the channel you select. Rates displayed in our calculator and dashboard include carrier costs and handling. Actual rates are calculated at the time of shipment and may differ from estimates due to weight verification or dimensional adjustments. Shipping rates include basic carrier insurance. For higher-value shipments, additional insurance may be arranged upon request.

8. Liability & Limitation

We exercise reasonable care in handling your inventory. Our liability for loss or damage to inventory in our warehouse is limited to the lesser of the declared product value or $100 per item. We are not liable for loss or damage during carrier transit — carrier insurance applies. We are not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or reputational harm. Our total aggregate liability under these Terms shall not exceed the fees paid by you in the 3 months preceding the claim.

9. Claims & Disputes

Claims for damaged or missing items must be filed within 14 days of the event. Claims must include photographic evidence where applicable. We will investigate and respond within 10 business days. If we determine liability, compensation will be credited to your account balance.

10. Account Suspension & Termination

We may suspend your account if your balance is negative for more than 14 days, you violate these Terms, or your inventory poses a safety risk. You may terminate your account at any time. Upon termination, you must arrange removal of your inventory within 30 days. After 30 days, unclaimed inventory may be disposed of, and storage fees continue to accrue until removal.

11. Prohibited Items

You may not store or ship: illegal substances, weapons, explosives, counterfeit goods, items violating intellectual property rights, undeclared hazardous materials, or perishable goods requiring refrigeration. Violation will result in immediate account termination and reporting to authorities where required.

12. Intellectual Property

You retain all rights to your brand, products, and content. You grant us a limited license to use your brand name and product images solely for the purpose of fulfilling orders (e.g., customs declarations, packing slips). We retain all rights to the ShipLulu platform, dashboard, and technology.

13. Data Protection

We process personal data in accordance with our Privacy Policy. Where we process your customers' personal data on your behalf, the terms of our Data Processing Agreement apply.

14. Governing Law

These Terms are governed by the laws of Hong Kong SAR. Any disputes shall be resolved through arbitration in Hong Kong under the rules of the Hong Kong International Arbitration Centre (HKIAC).

15. Changes

We may modify these Terms with 30 days' notice by email. Continued use of the Service after the effective date constitutes acceptance. If you disagree with changes, you may terminate your account before the effective date.
